Amendment of Thai Civil and Commercial Code

泰國民商法修訂案

On 23^rd June 2020, Thai Cabinet approved several amendments of Thai Civil and Commercial Code (“CCC”). Currently the draft is waiting for Thai parliament’s approval. Details regarding the amendment to the Civil & Commercial Code are as follows:[1]

二零二零年六月二十三日，泰國內閣通過針對《泰國民商法》部分內容的修訂案，目前正等待泰國國會批准。本次修法重點如下：

Registration of incorporation or amendments of a partnerships and private company:

Documents submitted for registration can be submitted at any approved Department of Business Development (“DBD”) registration office, regardless of location of the partnerships or private company. In addition, a company’s memorandum of association will be expired if a company hasn’t been incorporated within 3 years after registration.

註冊或更新合夥公司及私人公司資料:

公司資料可提交至任何泰國事業開發部許可的註冊處，不一定要去公司註冊地附件的註冊處辦理。另外，如公司在登記三年內尚未成立，章程會視為無效。

Requirement to Affix Company’s Seal Imprint on Share Certificates

If a company has a seal, a seal imprint is required to affix on share certificates.

股票須加蓋公司鋼印

如公司有鋼印，需蓋在公司發行的股票上。

Mergers

So far, the CCC only recognizes the concept of “amalgamation”, which means two companies merge into a new company. Under the draft, a company (or more) can be merged into another existing company.

合併

目前《泰國民商法》針對合併的定義是兩間公司併成一間新的公司。新法規定一間公司(或更多)可併在一間既有公司底下。

Deadline to Pay Dividends

Payment of dividends must be made within one month from the date of relevant resolutions.

支付股利的期限

股利需在公司開會決議日起一個月內支付。

Number of Company promoters and shareholders

A private company should be at least two promoters and two shareholders. Also, the court is authorized to dissolve a company if it only has one shareholder.

公司發起人及股東人數

一間私人公司須至少有兩位發起人及兩位股東。如公司僅有一位股東，法院有權解散公司。
