New Measure in Thailand to Prevent Nominee Agreement
泰國防止代持協議之新措施Recently, Business Development
Department in Thailand (“DBD”) has introduced regulatory measures aimed at
strengthening corporate governance and preventing the misuse of nominee structures, which could adversely impact the
country's economic stability and security. Effective from April 1, 2026, the DBD
now requires stricter scrutiny when companies appoint or change authorized
signatories, particularly in cases involving foreign nationals.

Registration Rules will be Tightened in Thailand
泰國將加強外國企業登記規則

The Department of
Business Development (“DBD”) is preparing strict rules to proven foreign
investors from using Thai nominees to application for business registration. A
new order is expected to be announced in mid-March 2026, and to take effect on
1 April 2026. The rules is undergoing public consultation, and will be
concluded on 13 March 2026.

IBC法律金融會計事務所(“IBCFirm”)的合夥人吳婉純Wendy於2026/3/4很榮幸與國際獅子會曼谷大玲昌310D區，於泰國紅十字會所屬之泰國國家血液中心前一同參加「捐血一袋、愛心加倍」公益活動，現場聚集旅泰僑界與各界善心人士，共同為充實血庫盡一份心力。大家一同努力捐贈，也獲頒感謝狀，為這份善行留下珍貴見證。IBCfirm長期參與公益活動，Wendy在去年同時期也參與曼谷大玲昌(旅泰台商)獅子會主辦的捐血送愛心米活動。捐血及贈米活動平常為常態性公益行動，每四個月舉辦一次，平均募集約 300 包愛心米，用以鼓勵市民踴躍捐血。本次活動由何素珍何姐號召，一共募集1,400包愛心米，遠超原訂目標，不僅展現僑界團結互助的精神，更彰顯社會大眾對公益行動的高度認同與支持。「捐血一袋，愛心加倍」不再只是口號，而是在眾人齊心努力下，化為實實在在的善舉。希望這份溫暖持續傳遞，為社會注入更多希望與力量。台泰報導:https://taithaitimes.com/article/detail/12670 泰國報導:https://www.facebook.com/share/1DZ3TjToug/?mibextid=wwXIfrhttps://www.facebook.com/share/1DXM3eavTf/?mibextid=wwXIfr

What
You Should Know About Debt Inheritance in Thailand
您應該知道的關於泰國債務繼承
When a person passed
away, the heirs inherit rights and duties from the deceased. According to
Section 1600 under Thai Civil and Commercial Code (“CCC”), “subject to
the provisions of this Code, the estate of a deceased includes his/her
properties of every kind, as well as his/her rights, duties and liabilities,
except those which by law or by their nature are purely personal to him/her”. In
other words, the heirs not only inherit the assets but also the debts.

Thailand
has Acceded to the Apostille Convention
泰國已加入海牙認證公約On 9 December 2025, the
Thai Cabinet officially approved Thailand’s accession to the Convention
Abolishing the Requirement of Legalisation for Foreign Public Documents (1961
Apostille Convention), one of the key conventions under the framework of the
Hague Conference on Private International Law (HCCH). Accession to this Convention will replace the traditional
multi-stage consular legalization with a single Apostille certificate and
will help reduce procedures and costs for documents to be used abroad as well
as foreign public documents to be used in Thailand, thereby providing greater
convenience to the public and the business sector.

Received Letter of Appreciation from the Border Patrol Police Headquarters!
IBCfirm收到泰國邊境巡邏警察總指揮部的感謝函!Since
mid-November last year, southern Thailand has been affected by strong northeast
monsoons and a low-pressure system, resulting in widespread “heavy to very
heavy rainfall.” Songkhla Province was declared a state of emergency by the
Prime Minister of Thailand at that time, requiring assistance for disaster
relief and reconstruction efforts. IBCfirm also stepped forward without
hesitation to support the relief operations by donating to the Border Patrol
Police Headquarters.

泰國加強對泰籍股東的身份與資格審核On 1 December 2025, the
Department of Business Development (“DBD”) in Thailand issued Order No. 2/2568,[1]
establishing stricter documentation requirements for company incorporations. The
Order was published on 22 December 2025 in the Royal Thai Government Gazette
and has been effective since 1 January 2026.
