泰國防止代持協議之新措施Recently, Business Development
Department in Thailand (“DBD”) has introduced regulatory measures aimed at
strengthening corporate governance and preventing the misuse of nominee structures, which could adversely impact the
country's economic stability and security. Effective from April 1, 2026, the DBD
now requires stricter scrutiny when companies appoint or change authorized
signatories, particularly in cases involving foreign nationals.

The Department of
Business Development (“DBD”) is preparing strict rules to proven foreign
investors from using Thai nominees to application for business registration. A
new order is expected to be announced in mid-March 2026, and to take effect on
1 April 2026. The rules is undergoing public consultation, and will be
concluded on 13 March 2026.

您應該知道的關於泰國債務繼承
When a person passed
away, the heirs inherit rights and duties from the deceased. According to
Section 1600 under Thai Civil and Commercial Code (“CCC”), “subject to
the provisions of this Code, the estate of a deceased includes his/her
properties of every kind, as well as his/her rights, duties and liabilities,
except those which by law or by their nature are purely personal to him/her”. In
other words, the heirs not only inherit the assets but also the debts.

On 9 December 2025, the
Thai Cabinet officially approved Thailand’s accession to the Convention
Abolishing the Requirement of Legalisation for Foreign Public Documents (1961
Apostille Convention), one of the key conventions under the framework of the
Hague Conference on Private International Law (HCCH). Accession to this Convention will replace the traditional
multi-stage consular legalization with a single Apostille certificate and
will help reduce procedures and costs for documents to be used abroad as well
as foreign public documents to be used in Thailand, thereby providing greater
convenience to the public and the business sector.

monsoons and a low-pressure system, resulting in widespread “heavy to very
heavy rainfall.” Songkhla Province was declared a state of emergency by the
Prime Minister of Thailand at that time, requiring assistance for disaster
relief and reconstruction efforts. IBCfirm also stepped forward without
hesitation to support the relief operations by donating to the Border Patrol
Police Headquarters.

Department of Business Development (“DBD”) in Thailand issued Order No. 2/2568,[1]
establishing stricter documentation requirements for company incorporations. The
Order was published on 22 December 2025 in the Royal Thai Government Gazette
and has been effective since 1 January 2026.
