Electronic Meeting Law in Thailand – A Law Made for COVID-19
新型冠狀病毒的產物-泰國數位會議法
To control COVID-19, government of Thailand last month announced the enact of Electronic Meeting Law based on Emergency Decree on Electronic Meeting, B.E. 2563 (2020). The aim of this law is to prevent people to gather together to attend meetings. Therefore, from now on, a company is able to hold its directors and shareholders’ meeting via electronic devices, which is electronic meeting[1].
為了控制新型冠狀病毒,泰國政府上個月宣布制定《泰國數位會議法》並即刻生效;此法的提案是基於佛曆2563年 (2020)《數位會議緊急命令》,目的是減少大家集會的機會。故即日起,公司董事及股東會議可以利用數位裝置進行,為數位會議。
The following does not applied to electronic meeting: 數位會議不適用
1. Meetings of the House of Representatives, the Senate, and the Parliament.
泰國眾議院、 參議院和國會的會議。
2. Meetings for making judgments or court orders.
作出判決或法 院命令的會議。
3. Meetings for carrying out procurement process of government agency, local government agency, State enterprise, public organisation and other State agencies.
政府機構、地方政府機構、國有企業、公共組織和其他國家機構採購過程的會議。
4. Other meetings or matters as specified in ministerial regulations.
部委規定的其他 會議或事項
When holding an electronic meeting, such meeting should be held in compliance with the standards of security maintenance for electronic meetings prescribed by the Ministry of Digital Economy and Society, and an invitation letter for meeting and documents related to the meeting may be sent by electronic mailings. The following are some requirements for electronic meetings:
舉行數位會議時,應符合泰國數位經濟與社會部規定的數位會議安全維護標準。另外,應透過電子郵件發送會議邀請並提供相關文件。數位會議有一些要求:
1. Must allow participants to present themselves before attending the meeting.
須允許與會人 員在會議上發表自己的想法。
2. Enable attendees to cast votes, both by open voting and secret voting.
參與者可以公 開及秘密投票表決。
3. Must prepare meeting report in writing (Can be produced in the form of electronic data).
要有書面會議 紀錄(可以數位化紀錄)。
4. Arrange to make audio record or an audiovisual record, as the case may be, of every attendee throughout the period of the meeting in the form of electronic data, except for a confidential meeting.
視情況安排錄音或視聽記錄,整場會議以電子數據的方式呈現所有的與會者(機密會議除外)。
5. Must store electronic file information (Log File) of all meeting participants as evidence.
必須存取所有會議參與 者的數位資訊(紀錄檔案) 作為證據。
6. Must comply with the security standards of electronic media conferences determined by the Ministry of Digital Economy.
必須符合泰國數位經濟部確定的數位媒體會議的安全標準。

[1] Based on section 4 of Emergency Decree On Electronic Meeting, “electronic meeting” means a meeting that is required to be held by law and has been conducted through electronic means, in respect of which the attendees are not present at the same place and the consultation, discussion and expression of opinions among them are enabled through electronic means.
