Scrutiny of Thai Shareholders 泰國股東的審查

【在泰國設立公司必須知道的知道的 What you must know when setting up a company in Thailand 】

Effective as of 2 January 2013, the Thai Ministry of Commerce (Department of Business development) has new rules for setting up Thai companies with foreign involvement:

• Thai shareholders of a new registered partnership or private limited company are required to prove their ability to invest in the prospective business venture by presenting the company registrar a letter certified by their bank
• Such document need to state the bank account balance which must least represent the par value of shares they intend to hold in the new company
• The same rule applies if all shareholders are Thai but there is a foreign director who can sign or jointly sign to bind the company

自2013年1月2日起，泰國商務部（事業開發部）針對外商參與的泰國公司，制定了新的規定：

• 新登記合夥公司或私人有限公司的泰國股東，必須藉由向公司註冊處出示銀行擔保來證明其投資未來事業的能力。
• 此文件需陳述銀行帳戶餘額，此餘額須至少代表股東打算在新公司持有的股票的面值
• 如果所有股東都是泰國人，但有一位外國董事可以簽署或共同簽署文件來約束公司，則適用同樣的規定
